1. Overview

LatentKit is a product operated by PremiumX FZ-LLC, a company registered in the United Arab Emirates ("LatentKit", "we", "us"). These Terms apply to latentkit.com, the LatentKit console, the LatentKit API gateway, and related services. If you use LatentKit for an organization, you represent that you are authorized to accept these Terms for that organization.

Enterprise orders, signed agreements, data processing addenda, or order forms may add to or override these Terms for the covered workspace.

2. Accounts and workspaces

You are responsible for keeping your account secure, maintaining accurate billing and contact information, and controlling who has access to your workspace. You are responsible for activity performed with your LatentKit API keys, provider connections, and user accounts.

3. BYOK provider credentials

If you connect a provider using bring-your-own-key ("BYOK"), you authorize LatentKit to store that provider credential and use it to route requests you send through configured policies. BYOK provider credentials are stored encrypted in Supabase Vault, are not logged, and are not displayed back in the product after saving.

LatentKit is not a zero-knowledge credential manager. The gateway must resolve provider credentials server-side to fulfill authorized provider requests. Decrypted access is restricted to the production runtime and privileged operational access. You may rotate, disable, or delete provider connections from the console.

4. Platform Access and credits

Platform Access uses LatentKit-managed provider credentials and deducts usage from your managed-credit balance. Standard managed API usage is priced as provider/model cost plus a 5% Platform Access fee. Payment processing fees, taxes, minimum top-ups, or custom Company terms may apply as shown in the console or applicable order.

BYOK traffic is billed by your provider, has no LatentKit usage markup, and does not use Platform Access credits. Platform Access availability depends on plan access, provider support, provider health, platform credentials, model eligibility, and available credits. Free onboarding allowances, trial credits, promotional credits, and included subscription credits may expire or be limited as shown in the console or applicable order.

5. Acceptable use

You may not use LatentKit to violate law, infringe rights, bypass provider restrictions, attack or disrupt systems, distribute malware, attempt unauthorized access, or transmit content that your selected AI providers prohibit. You are responsible for complying with the terms and policies of any AI provider you use through BYOK or Platform Access.

6. Data and AI providers

Requests sent through LatentKit may be processed by third-party AI providers selected by your policy or made available through Platform Access. Those providers process request content under their own terms. LatentKit may process request metadata, logs, traces, usage records, guardrail state, and billing records to operate, secure, debug, and improve the service.

7. Fees, payment, and taxes

Subscription fees, credit purchases, managed usage, taxes, and any enterprise charges are payable as shown at checkout, in the console, invoice, order form, or applicable agreement. Payments are processed by Stripe. The legal merchant/operator is PremiumX FZ-LLC. LatentKit may appear on your card statement as LATENTKIT. Unless an order says otherwise, fees are non-refundable except where required by law.

8. Security and availability

We use technical and organizational controls intended to protect the service, including encrypted credential storage, access controls, operational logging, and abuse-prevention measures. No internet service is guaranteed to be uninterrupted or error-free. You are responsible for designing your own applications with appropriate fallback, retry, monitoring, and provider-risk controls.

9. Suspension and termination

We may suspend or terminate access if you violate these Terms, create security or abuse risk, fail to pay amounts due, or use the service in a way that could harm LatentKit, providers, users, or third parties. You may stop using LatentKit and delete workspace resources subject to retention needed for legal, billing, security, or operational purposes.

10. Disclaimers and liability

LatentKit is provided on an "as is" and "as available" basis. We do not guarantee provider availability, model output quality, pricing stability from third-party providers, or that AI output will be accurate or suitable for your use case. To the maximum extent permitted by law, LatentKit and PremiumX FZ-LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
